Chapter 1. Name and Location
Article 1. Name
The Mori Art Museum (hereinafter called the “Museum”) shall mean the museum managed and operated by Mori Building Co., Ltd. (hereinafter called the “Operator”). MAMC, Mori Art Museum Membership Program (hereinafter called “MAMC”) shall mean the membership program for the Museum managed by the Operator under the terms and conditions hereinafter set forth.
Article 2. Location
The Museum is located at Roppongi Hills Mori Tower, 53rd Floor, 10-1, Roppongi 6-chome, Minato-ku, Tokyo, Japan.
Chapter 2. Rules
Article 3. Application of These Rules
The Operator hereby establishes the rules to govern terms and conditions by which an individual member, as defined in Chapter 3 hereof (hereinafter called the “Member”), uses the Museum and the services described in Chapter 5 hereof (hereinafter called the “Services”) and other terms and conditions that must be upheld as a Member.
Article 4. Changes to These Rules
The Operator may from time to time make changes to these rules without the consent of the Member by notifying the Member of such changes in such manner as the Operator deems appropriate. Thereafter, terms and conditions of MAMC, including those of the Services, shall be subject to such changes.
Article 5. Additional Rules
The Operator may from time to time establish rules in addition to these rules and make any changes thereto, which shall constitute an integral part hereof.
Chapter 3. Members
Article 6. Members
As used herein, a Member shall mean an individual eighteen years of age or older (or, an individual sixteen years of age or older in the case of individuals who applied for membership before October 31, 2008) who shall have applied for MAMC and shall have been admitted under Article 8 hereof.
Article 7. Types of Members 1. The types of Members shall be as follows:

“Friend Member” |

A “Friend Member” shall mean any person who has completed application procedures, and paid the joining fee and the annual fee for a Friend Member as described in the table in Section 1 of Article 8 hereof. |

“Fellow Member” |
| |
A “Fellow Member” shall mean any person who has completed application procedures, and paid the joining fee and the annual fee for a Fellow Member as described in the table in Section 1 of Article 8 hereof. |
| 3) |
“Benefactor Member” |
| |
A “Benefactor Member” shall mean any person who has completed application procedures, and paid the joining fee and the annual fee for a Benefactor Member as described in the table in Section 1 of Article 8 hereof. |
Article 8. Admission
| 1. |
Any person who applies for MAMC (hereinafter called the “Applicant”) shall apply according to one of the following methods as set out by the Operator. |

Admission at the Mori Art Museum Information Desk (Over the Counter, or OTC, Admission) |

After entering the information required for admission on the prescribed application form and submitting it to the Mori Art Museum Information Desk (located at Roppongi Hills Mori Tower, 3rd Floor; hereinafter called the “Information Desk”), the Applicant shall pay in cash or by credit card the joining fee and the annual fee described in the following table (together with applicable national consumption tax and local consumption tax [together hereinafter called “consumption tax”]).
(A Member admitted using this admission method shall hereinafter be called an “OTC Admission Member.”) |

Admission through Mori Art Museum Website (Online Admission) |

The Applicant shall apply in accordance with the operating procedure stipulated on the Mori Art Museum Website (URL: http://www.mori.art.museum; hereinafter called the “Operator’s Website”) and pay by credit card the annual fee described in the following table (together with applicable consumption tax).
(A Member admitted using this admission method shall hereinafter be called an “Online Admission Member.”) |

A discounted annual fee shall apply to Applicants who can prove that they are enrolled at a high school, university or vocational college by presenting a student ID card when applying for admission over the counter as a Friend. |
| Note 2: |
A discounted annual fee shall apply to Applicants who can submit materials that the Operator recognizes as evidence of the Applicant being an artist when applying for admission over the counter as a Friend. |
| Note 3: |
A discounted annual fee shall apply to Applicants who can prove that they are 65 years old or older by presenting a health insurance card, pension book or similar document when applying for admission over the counter as a Friend. |
| 2. |
In the event the Applicant is or is deemed to be inappropriate for MAMC in the Operator’s judgment, the Operator may decline to accept the Applicant or may cancel its approval for admission of the Applicant at any time. |
| 3. |
The application procedures for admission to MAMC shall be deemed completed when the Operator confirms completion by the Applicant of the required application procedures and its receipt of the joining fee and the annual fee hereunder. At such time, the Operator shall approve admission of the Applicant to MAMC for a period of membership commencing on a date calculated based on Section 1 of Article 9 hereof. |

Upon completion of application procedures, the Operator shall issue the Applicant a member’s card under Chapter 4 hereof (hereinafter called the “Member’s card”). The Operator shall aim to issue the Member’s card around one week after completion of application procedures. |
| 5. |
The joining fee and the annual fee may be subject to change at the Operator’s discretion. |
| 6. |
The joining fee and the annual fee paid to the Operator hereunder will not be refunded to the Member for any reason. |
Article 9. Membership Period
| 1. |
The Member’s period of membership in MAMC shall commence from the date on which the procedures for application to MAMC are completed (hereinafter called the “Application Procedures Completion Date”) and continue for one year (or, if the Application Procedures Completion Date falls in the middle of the month, the membership period shall commence on the 1st of the following month). |
| 2. |
If the Application Procedures Completion Date falls in the middle of the month, the Applicant may use the Services free of charge from the Application Procedures Completion Date until the end of the month in which the Application Procedures Completion Date occurs. Furthermore, the provisions of Article 24 hereof shall also apply during the period prescribed by the provisions of said Section. |
Article 10. Changes to Membership Period

When the Member wishes to renew his or her membership period, he or she shall do so in the following way. Furthermore, if the end of the membership period is reached without the Member renewing it, such Member shall be deemed to have withdrawn from MAMC on the expiration date. |

Renewal of OTC Admission Members |
| |

The membership period of an OTC Admission Member shall be renewed for a period of one year when the OTC Admission Member, having received the membership period renewal notice by postal mail, has subsequently paid in cash or by credit card the annual fee for the post-renewal membership period (one year commencing from the date immediately following the end of the current membership period [hereinafter called the “Expiration Date”]) at the Information Desk as prescribed in Item 1 of Section 1 of Article 8 hereof by said Expiration Date, and the Operator has confirmed receipt of said annual fee. |

Renewal of Online Admission Members |

The membership period of an Online Admission Member shall be renewed automatically for a period of one year commencing from the date immediately following the Expiration Date, and will continue to be renewed in this way annually, if the Online Admission Member, having received the membership period renewal notice by email, has subsequently not followed procedures for notifying the Operator that he or she will not renew within the period separately stipulated by the Operator. In such cases, the Online Admission Member shall pay the annual fee for the post-renewal membership period as prescribed in Item 2 of Section 1 of Article 8 hereof by credit card as prescribed in said Item on the 10th of the month in which the Expiration Date occurs (or the next bank business day in cases where the 10th falls on a bank holiday). |

The Member may not withdraw from MAMC during the membership period. However, the Member may give notice during the membership period that he or she will not renew the membership. Upon receipt of such notice from the Member, the Operator shall take the following measures. |

Measures for an OTC Admission Member |

The Operator shall not issue the OTC Admission Member the notice as prescribed in Item 1 of Section 1 of Article 10 hereof. Furthermore, if requested, the Operator shall stop mailing notifications to said OTC Admission Member pertaining to the Services provided during the membership period or other notifications related to MAMC. |

Measures for an Online Admission Member |

If requested, the Operator shall stop emailing notifications to the Web Admission Member pertaining to the Services provided during the membership period or other notifications related to MAMC. |
Article 11. Change of Registered Information
If there is any change in the Member’s name, address, telephone number, e-mail address, or any other registered information, the Member shall perform the change according to the procedure designated by the Operator without delay, and the Operator shall not be responsible for any loss, including but not limited to late or undelivered email, postal mail or any other correspondence, incurred by the Member due to his or her failure to perform said change.
Article 12. Suspension and Cancellation of Membership
The Operator may suspend or cancel the Member’s membership without notice to him or her in the event of any of the following. In the case of such suspension or cancellation, the Operator shall not be responsible for any loss or damage incurred by such Member, other Members or any third party as a result thereof.

Any conduct by the Member in violation of good public order, or applicable laws, rules, or regulations; |

2) |
Any defamation, disturbance, or other similar conduct by the Member against other Members or third parties; |
| |
3) |
Any conduct by the Member which interferes with the operation or management of the Museum; |
| |
4) |
Any false statement or representation made by the Member to the Operator; |
| |
5) |
Any case in which it becomes known that the Member is involved in antisocial activity or belongs to an antisocial organization, including but not limited to membership or quasi-membership of a gang or gang-related organization. |

6) |
Any default on payment of the annual fee prescribed in Item 2 of Section 1 of Article 10 hereof. |
| |
7) |
Any violation by the Member of any of the provisions hereof; |
| |
8) |
Any other event or conduct which is not appropriate as to the Member in the Operator’s judgment. |
Article 13. Prohibition of Assignment
The Member shall not loan or assign his or her MAMC membership or any right or obligation arising therefrom, whether in whole or in part, to any third party, nor shall pledge or create any lien on the same.
Article 14. Privacy of the Member

The Operator will treat the Member’s personal information as defined in Section 2 of Article 2 of Personal Information Protection Act (hereinafter called the “Member’s Personal Information”) in accordance with the privacy policy separately established by the Operator.

| 2. |
The Operator may at its discretion change any terms and conditions of the Privacy Policy. In the case that the Operator changes the terms and conditions, the Operator will treat the Member’s Personal Information in accordance with the Privacy Policy as changed. |
Chapter 4. Member’s card, Login ID, and Password
Article 15. Issuance of the Member’s card
All Members shall receive a Member’s card from the Operator. Thereupon, the Member shall sign his or her Member’s card.
Article 16. Presentation of the Member’s card
When the Member receives the Services, the Member shall present his or her Member’s card to the Museum’s staff upon request. From the completion of the application procedures until the issuance of the Member’s card, the Member may follow the prescribed procedures for having his or her identity confirmed at the Information Desk in lieu of presenting a Member’s card.
Article 17. Reissuance of the Member’s card
In the event of loss of the Member’s card, a new Member’s card will be issued in accordance with the Operator’s procedures, on the condition that a reissuance fee of 500 yen (which includes any consumption tax) is paid by the Member.
Article 18. Loan of the Member’s card
The Member shall not loan to any third party or allow any third party to use his or her Member’s card, nor shall he or she pledge or create any lien on the Member’s card.
Article 19. Unauthorized Use of the Member’s card
In the case of any unauthorized use of the Member’s card by a third party due to theft or any other reason, the Member shall be solely responsible for such unauthorized use.
Article 20. Return of the Member’s card
The Member shall return to the Operator his or her Member’s card or cut through and dispose of it on his or her own responsibility immediately after his or her loss of MAMC membership for any reason hereunder.
Article 21. Login ID and Password

An Online Admission Member shall be responsible for good management of the login ID and password he or she acquires during Online Admission. |
| 2. |
An Online Admission Member may not allow any third party to use his or her login ID and/or password in any way whatsoever, including but not limited to loan, assignment, name change, or the creation of a lien. |
| 3. |
The Operator shall not be responsible for compensation for damages or losses due to misuse of the login ID and/or password or use thereof by any third party. |
Chapter 5. The Services
Article 22. Provision of the Services
The Operator shall provide the Member with free admission to exhibitions at the Museum as well as any services separately prescribed by the Operator, based on the Member’s membership type.
Article 23. Change of the Services
The Operator may change any part of the Services after posting notice of said change of the Services on the Operator’s Website with one month’s notice to the Members.
Article 24. Interruption of the Services and Termination of MAMC

The Operator may temporarily interrupt any of the Services without notice to the Member in the event of any of the following: |

Any urgent work required by the Operator for maintenance of the Museum or MAMC; |
| |
2) |
Any loss or damage suffered by the Museum or the Operator due to any reason, whether Force Majeure or not; or |
| |
3) |
Any urgent circumstances similar to any of the above. |
| 2. |
The Operator may terminate the operation of MAMC at any time with one month’s notice to the Members. |
Chapter 6. Miscellaneous
Article 25. Copyright and Other Intellectual Property Rights
The Operator shall have the copyright and all other intellectual property rights in any and all contents contained in the Operator’s Website, member magazines, email newsletters, and any other materials.
Article 26. No Responsibility

The Operator shall not be responsible for any loss or damage suffered by the Member due to any changes to these rules or the Services for any reason, and shall not be obligated to indemnify the Member for any such loss or damage. |
| 2. |
In the event that the Member suffers any loss due to the termination or interruption of the Services for any reason attributable to the Operator, the amount of compensation to be paid by the Operator shall in no event exceed the amount of the annual fee payable by such Member for that year. |
Article 27. Damage Claim
The Member shall be liable for any damages suffered by the Operator due to any violation of these rules or any unfair or unlawful conduct of the Member.
Article 28. Notices
Any notice given to the Member by e-mail, telephone, facsimile, or any other method based on the contact information contained in the Member’s application shall be deemed effective upon dispatch thereof.
Article 29. Language
These rules have been prepared in the Japanese language. Any translation into English or any other language shall be for reference purposes and convenience only, and the original Japanese version will govern the interpretation of these rules.
Article 30. Exclusive Jurisdiction
The parties agree that Tokyo District Court shall have exclusive jurisdiction over any dispute between the Member and the Operator.
Article 31. Governing Law
These rules shall be interpreted and governed by the laws of Japan.
Effective Date
These rules shall be effective as of November 1, 2008. |
